OpenAI is in advanced discussions to acquire Windsurf, an AI-assisted coding tool formerly known as Codeium, for approximately $3 billion, according to a person familiar with the matter. If completed, the acquisition would mark OpenAI’s largest deal to date and a major strategic move in the competitive landscape of AI-driven software development tools.

The talks are ongoing, and the terms have not been finalized, with the possibility that negotiations could still collapse. Both OpenAI and Windsurf have declined to comment publicly on the deal.

A Strategic Play in the AI Coding Arena

Windsurf, officially operating under the name Exafunction Inc., has quickly gained attention in the AI space for its coding assistant capabilities — tools that allow developers to generate, edit, and understand code using natural language prompts. The startup had reportedly been seeking to raise capital at a $3 billion valuation, with backers including Kleiner Perkins and General Catalyst, the latter of which led a $1.25 billion funding round just last year.

Founded in 2021, Windsurf has raised over $200 million from notable investors like Greenoaks Capital Partners and AIX Ventures.

If the acquisition moves forward, OpenAI would intensify its competition with players such as Anthropic, GitHub (owned by Microsoft), and Anysphere — all of whom are rapidly innovating in the AI programming tools space. GitHub Copilot, for instance, has been a leader in this domain, while Anysphere’s Cursor has attracted considerable investor interest and was recently in talks to raise funding at a nearly $10 billion valuation.

Consolidation in a Booming Market

The potential Windsurf acquisition underscores a larger trend in the AI sector: increased consolidation as companies race to secure top-tier tools and talent. As AI becomes more deeply embedded in the software development process, leading firms are expanding aggressively through mergers and acquisitions to bolster their capabilities.

This wouldn't be OpenAI's first foray into strategic acquisitions. It has previously acquired Rockset, a vector database startup, and Multi, a remote collaboration platform.

OpenAI’s financial firepower continues to grow. Last month, it closed a massive $40 billion funding round led by SoftBank, valuing the ChatGPT creator at $300 billion. With its deep pockets and ambition to stay ahead of the curve, acquiring Windsurf could be a defining move to cement OpenAI’s leadership in AI-powered software development.

As the AI arms race accelerates, all eyes will be on OpenAI and Windsurf to see whether this deal crosses the finish line — and what ripple effects it might send through the tech industry.
